1. Agreement to Terms
By accessing or using Navochat's platform and services ("Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use our Services.
These Terms constitute a legally binding agreement between you (the 'User' or 'Customer') and Navochat. By using the Services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.
2. Description of Services
Navochat provides an AI-powered customer service platform that includes:
- AI agent deployment and management
- Live chat and messaging capabilities
- Knowledge base creation and management
- Analytics and reporting tools
- Workflow automation and custom skills
- Custom domain configuration
We reserve the right to modify, suspend, or discontinue any part of our Services at any time, with reasonable notice where possible.
3. Accounts and Registration
You must provide accurate, current, and complete information when creating an account. You are responsible for:
- Maintaining the confidentiality of your account credentials
- All activities that occur under your account
- Notifying us immediately of any unauthorized access
We reserve the right to suspend or terminate accounts that violate these Terms.
4. Acceptable Use
You agree not to use our Services to:
- Violate any applicable laws or regulations
- Infringe intellectual property rights of others
- Distribute malware, viruses, or other harmful code
- Engage in unauthorized data scraping or harvesting
- Send spam or unsolicited commercial messages
- Impersonate any person or entity
- Interfere with or disrupt our Services or servers
- Attempt to gain unauthorized access to our systems
5. AI and Automated Content
Our platform uses AI to generate customer-facing responses. You acknowledge that:
- AI-generated content may not always be accurate or appropriate
- You are responsible for monitoring and reviewing AI responses
- You must configure appropriate safeguards for AI interactions
- Navochat does not guarantee specific AI response quality
- You retain responsibility for the knowledge base content you provide
6. Intellectual Property
Navochat and its licensors own all rights, title, and interest in the Services, including all associated intellectual property rights. You retain ownership of:
- Your knowledge base content and data
- Your customer communication records
- Your custom configurations and workflows
You grant Navochat a limited license to use your data solely to provide and improve the Services.
7. Payment and Billing
Paid plans are billed according to the terms of your subscription. Unless otherwise stated:
- Fees are non-refundable
- We may update pricing with 30 days' notice
- Overdue payments may accrue interest at 1.5% per month
- We may suspend Services for non-payment after notice
8. Data Processing
When processing personal data on your behalf, we act as a Data Processor (under GDPR/PIPL/PIPA/APPI) or Service Provider (under CCPA). We will:
- Process data only on your documented instructions
- Implement appropriate technical and organizational security measures
- Assist you in responding to data subject requests
- Notify you of any data breach within 72 hours of becoming aware
- Delete or return your data upon termination as requested
9. Service Level and Availability
We aim for 99.9% uptime for our paid plans. Scheduled maintenance will be communicated in advance. Downtime due to factors beyond our control (force majeure) does not constitute a breach of these Terms.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NAVOCHAT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL.
Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim. This limitation applies to all causes of action, regardless of legal theory.
11. Indemnification
You agree to indemnify and hold harmless Navochat from any claims, damages, or expenses arising from your use of the Services, your data, or your violation of these Terms.
12. Termination
Either party may terminate with 30 days' written notice. We may terminate immediately if you materially breach these Terms. Upon termination, you may export your data within 30 days, after which it will be permanently deleted.
13. Dispute Resolution
These Terms are governed by the laws of the jurisdiction where Navochat is incorporated. Any disputes shall be resolved through binding arbitration, unless otherwise required by local consumer protection laws. Nothing in these Terms limits your statutory rights under applicable local laws.
14. General Provisions
If any provision is found unenforceable, the remaining provisions remain in effect. Our failure to enforce any right does not constitute a waiver. These Terms, together with our Privacy Policy, constitute the entire agreement between the parties.
